TERMS OF SERVICE

JunkAway — Instant Junk Removal Platform

IMPORTANT — PLEASE READ CAREFULLY

These Terms constitute a legally binding agreement between you and JunkAway Inc. By using the Platform you agree to these Terms, including a mandatory arbitration clause and class-action waiver in Section 7.

1. DEFINITIONS AND PLATFORM DESCRIPTION

"Platform" means the JunkAway website, mobile application, APIs, and all related services operated by JunkAway Inc.

"Customer" means any individual or entity that uses the Platform to request junk removal services.

"Provider" means an independent contractor registered on the Platform with an active paid subscription.

"Platform Fee" means the 20% commission retained by JunkAway from each completed Job payment.

JunkAway is a technology marketplace connecting Customers with independent Providers. JunkAway does not perform junk removal services and is not a party to the service contract between Customer and Provider. Providers are independent contractors, not employees of JunkAway.

2. ACCOUNT REGISTRATION AND ELIGIBILITY

You must be at least 18 years of age to create an account. By registering, you represent that all information you provide is accurate, current, and complete. You are responsible for all activity under your account.

JunkAway reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to other users.

3. PROVIDER REQUIREMENTS AND VERIFICATION

To become a Provider, you must maintain an active monthly subscription ($79/month) and comply with all of the following at all times:

Commercial General Liability Insurance

Minimum coverage of $1,000,000 per occurrence / $2,000,000 aggregate. Proof of insurance naming JunkAway as additional insured must be uploaded and kept current. Accounts with expired coverage will be suspended.

Valid Driver's License and Vehicle Registration

Valid driver's license appropriate for the vehicle used, current vehicle registration, and state-required commercial vehicle insurance.

Background Check Consent

By registering, you consent to criminal background and motor vehicle record (MVR) checks. Providers with felony convictions within 7 years or DUI/DWI within 3 years are ineligible. JunkAway may conduct periodic re-screening.

Proper Waste Disposal

Providers are solely responsible for disposal in compliance with all applicable federal, state, and local laws including EPA hazardous waste regulations. Improper disposal is grounds for immediate termination.

Independent Contractor Status

Providers are independent contractors solely responsible for their own taxes, workers' compensation, and labor law compliance.

4. PAYMENTS, FEES, AND REFUNDS

All payments are processed securely through Stripe. JunkAway does not store full payment card details.

Pricing: Prices are calculated based on junk type, volume, distance, add-ons (same-day rush, hazmat, heavy item, stairs), and a dynamic surge multiplier during peak demand periods. The estimated price shown at booking is not guaranteed; the final price is confirmed upon job completion.

Platform Commission: JunkAway retains a 20% platform fee from each completed Job. Providers receive 80% of the final confirmed price, paid weekly.

Provider Subscriptions: The $79/month subscription is non-refundable after the billing period begins. Subscriptions auto-renew monthly until cancelled.

Customer Refunds: Refunds for completed jobs are issued at JunkAway's sole discretion following dispute investigation. Cancellations before Provider arrival are refunded in full within 5–10 business days. No refunds after Provider arrival.

5. PROHIBITED ITEMS AND HAZARDOUS MATERIALS

The following items are strictly prohibited without prior written authorization and appropriate hazmat add-on selection:

Asbestos-containing materials
Lead paint or lead pipes
PCB-containing equipment
Radioactive materials
Biological or medical waste
Ammunition or explosives
Compressed gas cylinders
Pesticides (undiluted)
Mercury-containing devices
Underground storage tanks
Vehicles with active liens
Controlled substances

Customers who misrepresent items are solely liable for resulting fines, cleanup costs, or legal penalties.

6. LIMITATION OF LIABILITY AND INDEMNIFICATION

JUNKAWAY LIABILITY CAP

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JUNKAWAY'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.00. IN NO EVENT SHALL JUNKAWAY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

Property Damage: JunkAway is not liable for property damage caused by Providers. Damage claims must be filed through the Disputes section within 48 hours of job completion.

Indemnification: You agree to indemnify JunkAway and its officers, directors, and employees from claims arising from your use of the Platform, violation of these Terms, or violation of third-party rights. Providers additionally indemnify JunkAway for claims arising from their services, including property damage, personal injury, and improper waste disposal.

7. DISPUTE RESOLUTION AND ARBITRATION

MANDATORY ARBITRATION — PLEASE READ

EXCEPT FOR SMALL CLAIMS COURT MATTERS, ALL DISPUTES SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION UNDER AAA CONSUMER ARBITRATION RULES. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND CLASS ACTION PARTICIPATION.

Informal Resolution First: Contact [email protected] and attempt informal resolution for at least 30 days before initiating arbitration.

Job Disputes: Must be submitted through the Platform's Disputes feature within 48 hours of job completion. JunkAway will respond within 10 business days.

Governing Law: State of Delaware, without regard to conflict of law principles.

8. INTELLECTUAL PROPERTY

The JunkAway name, logo, and Platform design are the exclusive property of JunkAway Inc. By submitting content to the Platform, you grant JunkAway a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content for Platform operations and marketing.

9. PRIVACY AND DATA PROTECTION

Your use of the Platform is governed by our Privacy Policy, incorporated by reference. JunkAway complies with CCPA, CPRA, and GDPR.

10. MODIFICATIONS AND TERMINATION

JunkAway may modify these Terms at any time. Material changes will be communicated at least 14 days before taking effect. JunkAway may terminate or suspend your access immediately for any breach. Sections 1, 6, 7, 8, and the disclaimer of warranties survive termination.

11. DISCLAIMER OF WARRANTIES

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. JUNKAWAY DOES NOT WARRANT THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY PROVIDER OR SERVICE.

12. CUSTOMER OWNERSHIP AND PLATFORM EXCLUSIVITY

PLATFORM CUSTOMER OWNERSHIP

All Customers introduced to a Provider through the JunkAway Platform — regardless of how the introduction occurred — are and remain Platform Customers of JunkAway. JunkAway retains exclusive ownership of the customer relationship for the lifetime of that Customer's account. Providers acknowledge that they have no proprietary interest in any Customer introduced via the Platform.

12.1 Purpose of This Section. JunkAway invests substantially in customer acquisition, marketing, technology, and trust-building. This section protects that investment and ensures every Customer continues to receive the full benefits of the Platform — including price transparency, verified providers, dispute resolution, and payment protection — rather than being diverted to unregulated off-platform arrangements.

12.2 Customer Benefit. This policy exists to protect you, the Customer. JunkAway guarantees that no Provider will solicit your personal contact information, offer to perform services outside the Platform, or attempt to establish a direct business relationship that bypasses JunkAway's protections. If any Provider violates this policy, please report it immediately at [email protected].

12.3 No Off-Platform Transactions. Customers agree not to knowingly facilitate off-platform transactions with Providers they first encountered through JunkAway. Booking services directly with a Provider outside the Platform voids all JunkAway protections including dispute resolution, payment security, and insurance coverage.

13. PROVIDER NON-SOLICITATION AND NON-CIRCUMVENTION

BINDING PROVIDER OBLIGATION — VIOLATION SUBJECT TO LIQUIDATED DAMAGES

By activating a Provider account, you enter into a binding non-solicitation and non-circumvention agreement with JunkAway Inc. This agreement survives termination of your Provider account for a period of 24 months.

13.1 Prohibited Conduct. Providers are strictly prohibited from any of the following acts with respect to any Customer introduced through the Platform:

Direct Solicitation

Soliciting, encouraging, or accepting requests from Platform Customers to perform junk removal or related services outside the JunkAway Platform, whether in person, by phone, text, email, social media, flyer, business card, or any other medium.

Contact Information Exchange

Requesting, accepting, or sharing personal contact information (phone number, email, home address, social media handle) with Platform Customers for the purpose of establishing an off-platform business relationship.

Referral Diversion

Directing Platform Customers to contact you, your company, or any affiliated service directly — including displaying personal business cards, vehicle signage, or branded materials during Platform-dispatched jobs that promote off-platform contact.

Price Undercutting

Offering to perform the same or substantially similar services to a Platform Customer at a price below the Platform rate in order to induce an off-platform transaction.

Circumvention Arrangements

Entering into any arrangement, agreement, or understanding — formal or informal — with a Platform Customer designed to circumvent JunkAway's platform fee or customer relationship.

13.2 Liquidated Damages. The parties agree that actual damages from a solicitation violation are difficult to calculate. Accordingly, for each confirmed violation of Section 13.1, the Provider shall pay JunkAway liquidated damages of $5,000 per incident, which the parties agree is a reasonable estimate of harm and not a penalty. JunkAway may also seek injunctive relief without bond.

13.3 Reporting. Customers who are solicited by a Provider in violation of this section should report the incident to [email protected] with details. JunkAway will investigate and take appropriate action, which may include immediate account termination and pursuit of liquidated damages.

13.4 Monitoring. JunkAway reserves the right to monitor Platform communications, review customer feedback, and investigate reported violations. Providers consent to this monitoring as a condition of Platform access.

Why this protects everyone: This policy ensures Customers always have access to JunkAway's verified provider network, dispute resolution, payment protection, and insurance requirements — protections that disappear in off-platform arrangements. It also ensures Providers operate on a level playing field where platform investment is fairly compensated.
